Duke Energy Electroquil Partners & Electroquil S.A. v. Republic of Ecuador
ICSID · Investment (ICSID and treaty) · Ecuador · 18 Aug 2008
Why it matters
This award is significant for its detailed analysis of the umbrella clause in a BIT, clarifying that contractual breaches can amount to treaty violations. It also addresses the interplay between domestic law and international investment standards, particularly on fair and equitable treatment and arbitrary conduct. The case is frequently cited for its discussion of the scope of BIT protections in relation to state-owned entities and the requirement of good faith.
Summary
The dispute arose from power purchase agreements (PPAs) between Electroquil, a private Ecuadorian power generator, and INECEL, a state-owned entity. Duke Energy, a US company, acquired an interest in Electroquil. Ecuador faced an energy crisis in the 1990s, leading to emergency decrees authorizing PPAs. Electroquil entered into PPAs in 1995 and 1996 to supply electricity. During performance, Ecuador imposed fines for alleged non-compliance, delayed payments, and failed to establish payment trusts as agreed. Duke Energy initiated ICSID arbitration under the US-Ecuador BIT, claiming breach of the umbrella clause, fair and equitable treatment, non-impairment, and effective means. The tribunal upheld jurisdiction over most claims except customs duties. It found Ecuador breached the umbrella clause and fair and equitable treatment by imposing certain fines and delaying payments, but not for arbitrary conduct or denial of effective means. The tribunal awarded Electroquil USD 5,578,566 for wrongful fines plus interest, and interest on late payments. The award emphasized that contractual obligations can be elevated to treaty obligations under an umbrella clause, and that fair and equitable treatment requires stability and predictability.
